Job Purpose
The Junior Legal Counsel plays a pivotal and multifaceted role within the legal department. This critical team member conducts comprehensive legal research, meticulously drafts a wide array of legal documents, and offers expert legal advice, all while maintaining unwavering commitment to regulatory compliance and the preservation of the company's strategic interests. Furthermore, they actively foster cross-functional collaboration, providing swift and insightful legal guidance to various departments and significantly enhancing the overall operational efficiency of our esteemed legal function.
Job Responsibilities
Research & Legal Insights: Thoroughly research laws and regulations at local, national, and global levels that influence the company's functions. Evaluate potential legal threats and offer succinct, actionable, and well-informed legal counsel. Remain abreast of the latest shifts and advances in the legal sector. Additionally, proactively identify legal opportunities and challenges that may impact the organization.
Litigation Assistance: Collaborate closely with external legal representatives to provide invaluable support to the company's litigation efforts, including legal research, document preparation, and strategy development. Prepare case materials, and liaise with the legal team to ensure effective legal representation in all legal proceedings.
Company Operations: Examine, formulate, and negotiate a wide range of contracts and agreements in both English and Arabic languages, ensuring compliance with all relevant legal requirements. Play a key role in corporate governance tasks, including facilitating board decisions, coordinating shareholder gatherings, and ensuring adherence to corporate rules and regulations.
Operational Legal Guidance: Provide proactive legal guidance to various departments within ARG, advising managers on the company's legal entitlements and the legislative environment for business operations under specific conditions or in various regions. Collaborate closely with the Senior Legal Counsel and other team members to ensure that delegated tasks from different company divisions are completed professionally and in a timely manner, contributing to the overall efficiency of the legal function.
Regulatory Compliance: Monitor and ensure the company's compliance with a wide range of industry-specific regulations, including data protection, environmental, and licensing requirements. Provide guidance on regulatory changes and assist in the development of compliance strategies.
Contract management: Oversee the company's contract management process, including contract drafting, negotiation, and review. Ensure that contracts align with the company's legal and business objectives and minimize risks.
Dispute Resolution: Assist in managing disputes and potential legal issues. Collaborate with senior legal team members in the resolution of conflicts, whether through negotiation, mediation, arbitration, or litigation.
Documentation and Record-Keeping: Maintain accurate and organized legal documentation, ensuring easy retrieval of critical information and documents when needed. This may include creating databases, tracking important legal dates, and managing corporate records.
Ad Hoc Legal Projects: Undertake special legal projects and assignments as needed by the legal team or executive management, demonstrating adaptability and a willingness to tackle new challenge
Job Requirements
Qualifications
- BA in Law from an accredited law school
Experience
- A minimum of 5 years of experience in litigation and corporate law
Knowledge & Skills
- Strong analytical and problem-solving skills
- Ability to handle confidential information with discretion
- Effective communicator, both written and verbal, in English and Arabic
- Proactive, self-motivated, and able to work in a fast-paced environment
- Excellent negotiation skills
- Familiarity with contract drafting and corporate governance
